III Juridical Entities: A. Companies (Sec 7)

(7.) Articles of Association

Articles of association are a legal requirement for companies limited by guarantee and unlimited companies. Furthermore, these companies must state the amount of share capital with which the companies propose to be registered. If the company has no share capital, then the articles must state the number of members with which the company proposes to be registered. This will enable the registrar to determine the fees payable on registration.31 They are optional for companies limited by shares. The Articles of Association may adopt all or any of the regulations. The Articles must be printed, and divided into consecutively numbered paragraphs, bearing a stamp as if containing a deed, signed by each subscriber, and any alteration of these articles may be allowed by special resolution and valid as if originally contained in the articles.32
